CVGT Australia is embarking on a process of organisational renewal and growth with a new strategic plan, a rolling board renewal process and an increased focus on a contemporary governance framework to achieve its new promise and strategic objectives. The appointment of a part-time Company Secretary to work with the Board and play a lead role in governance reform is a fundamental initial step in the governance renewal process. You will work for the Board with a relationship with the CEO to reform and deliver a best practice governance and compliance framework for the company. Whilst you will be expected to work autonomously and develop a work plan that delivers on the core accountabilities of the position, you will be required to remain flexible and accept that some of the functions of the position will require some after hours and weekend work.
You will apply your existing depth of experience in similar roles to ensure CVGT Australia delivers on its statutory, constitutional and compliance obligations. Additionally, you will assist the Board and its sub-committees to operate effectively, and ensure governance systems are in place that provide policy guidance and support to the Board.
Having regard for the structured board renewal process, you will also facilitate the induction of newly appointed Directors, facilitate professional development programs for the Board and have the core responsibility for complete and accurate content of all Board records, coordinating and preparing for all Board and Board Committee meetings , notifying board members and company staff of meeting dates and times, as well as keeping and circulating agenda and minutes for all board and board committee meetings and responsibility for notifying ACNC/ASIC as required. You will also compile the Board and Board Committees’ actions register and monitor achievement of actions within defined timelines.
This new position within the organisational reform program will be responsible for the establishment of this role, systems of work and above all the development and implementation of a contemporary governance framework, respecting the past but clearly focusing on the future. You will be primarily located at the CVGT Australia head office although flexible work arrangements are available. Whilst initially the position may require some additional hours, it is anticipated the role will take an average of 2-3 days per week, which will be firmed up with the incumbent once they have an opportunity to scope the work program for the function.

Key Selection Criteria
- KSC 1 – Tertiary level qualification in governance or law and/or Board experience relevant to the responsibilities of the position.
- KSC 2 – Demonstrated ability to establish policies, standards, guidelines and principles in relation to the responsibilities of the position.
- KSC 3 – Demonstrated in-depth knowledge of corporate governance best practice.
- KSC 4 – Proven ability to provide advice and support to Board Directors and senior personnel regarding the corporate governance function.
- KSC 5 – High level and proactive communication skills, both verbal and written.
- KSC 6 – Excellent computer and software skills.
